Terms of Service

1. Acceptance of Terms

By accessing or using Own Your Tools ("the Service"), operated at ownyourtools.work, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We reserve the right to update these terms at any time. Material changes will be communicated via email to your registered address or via an in-app notification at least 14 days before they take effect. Continued use of the Service after the effective date of any update constitutes acceptance of the revised terms.

2. Description of Service

Own Your Tools is a web-based business management platform designed for contractors and tradespeople. The Service includes tools for client management, job scheduling, invoicing, expense tracking, mileage logging, proposal building, team communication, route planning, and other business operations features.

The Service is provided as a progressive web application (PWA) with cloud synchronization via Supabase™.

3. Payment and Pricing

Own Your Tools is offered as a one-time purchase of $290 USD for lifetime access. This means:

Payments are processed securely through Stripe®. Own Your Tools does not store your credit card information.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

We reserve the right to suspend or terminate accounts that violate these terms or that we reasonably believe are being used for fraudulent or abusive purposes.

You retain full ownership of all data and content you enter into the Service, including client records, job details, invoices, proposals, expenses, and any other business information. You are solely responsible for:

7. SMS and Email Communications

By providing your phone number to Own Your Tools, you consent to receive transactional SMS messages from us related to your account, including trial activation confirmations and service notifications. You can opt out at any time by replying STOP to any SMS we send. Standard message and data rates may apply.

If you use the Service to send SMS or email communications to your customers, you represent and warrant that you have obtained prior express consent from those recipients to receive such communications, and that you will honor any opt-out requests they make. You agree to indemnify and hold Own Your Tools harmless from any claims, fines, or damages arising from your communications to your customers, including but not limited to TCPA violations.

8. Service Availability

We strive to keep Own Your Tools available and reliable, but we do not guarantee uninterrupted or error-free service. The Service may be temporarily unavailable due to maintenance, updates, server issues, or circumstances beyond our control. We will make reasonable efforts to minimize downtime and notify users of planned maintenance when possible.

The Service requires an active internet connection. Features such as cloud synchronization, payment processing, SMS delivery, and third-party API access (Google® Calendar, Google Maps) depend on connectivity and are subject to the availability of those external services.

9. Limitation of Liability

To the fullest extent permitted by law, Own Your Tools and its owner, operators, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Our total liability for any claim related to the Service shall not exceed the total amounts you have paid Own Your Tools for your license and for any platform fees.

10. Third-Party Services

Own Your Tools integrates with third-party services including Stripe® (payments), Google® (Calendar, Maps, Geocoding), Twilio® (SMS), Resend (email), and Supabase™ (database and authentication). These integrations are provided for your convenience and are governed by the respective third party's own terms and policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these terms or if we discontinue the Service. In the event we discontinue the Service entirely, we will make reasonable efforts to provide at least 30 days' advance notice and allow you to export your data. Notice and export are not the only protections: if we permanently cease operating the Service, Section 12 (Source Code Release Commitment) also applies, and the source code for the Own Your Tools application will be released publicly as described in that section.

12. Source Code Release Commitment

This section is a binding commitment to every person holding a license to the Service. It is not a statement of intent.

The commitment. If a Trigger Event occurs, Own Your Tools LLC will publish the source code of the Own Your Tools application publicly, under an open-source license approved by the Open Source Initiative. If we do not designate a license at the time of release, the source code is released under the MIT License. We will also notify every license holder, at the email address on their account, of where the released source code can be obtained.

Trigger Event. A Trigger Event occurs on the earliest of the following:

A sale, merger, or transfer of the Service to a successor that continues to operate it is not a Trigger Event, provided that successor agrees in writing to be bound by this section. If it does not so agree, the transfer is itself a Trigger Event.

Timing. The release will be made no later than 90 days after the Trigger Event.

What is released. The release covers the application source code we control: the code for the Own Your Tools web application and its server functions, as last deployed. It does not include, and cannot include, any customer data, account credentials, API keys or other secrets, or third-party components we do not have the right to relicense. Where a third-party component cannot be included, we will identify it so that the code can be rebuilt.

Survival. This section survives the termination or expiration of these Terms, the termination of your license, the discontinuation of the Service, and the dissolution of Own Your Tools LLC. Notwithstanding Section 1, we will not amend, narrow, or remove this section with respect to any license purchased before that amendment takes effect.

13. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Idaho, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these terms or the Service shall be resolved in the state or federal courts located in Latah County, Idaho, and you consent to the personal jurisdiction of those courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will continue in full force and effect.

15. Entire Agreement

These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and Own Your Tools regarding the use of the Service and supersede any prior agreements or understandings, whether written or oral. This section does not limit, supersede, or nullify Section 12 (Source Code Release Commitment). Section 12 is part of these Terms, survives their termination, and remains binding regardless of any other provision of these Terms or of any later agreement.
